These Comprehensive Terms and Conditions of Service (“Terms”) constitute a legally binding agreement between you, the member, parent/guardian, volunteer, donor, or user (“User,” “You,” or “Your”) and DOTHAN MARTIAL ARTS BOOSTERS (“DMAB,” “We,” “Us,” or “Our”), a non-profit organization dedicated to fostering personal growth, confidence, and community engagement through the art of martial arts. By enrolling in any program, making a donation, using our website, accessing our facility at 200 ROYAL PKWY, DOTHAN, AL 36305, or otherwise utilizing any services or features provided by DMAB, You acknowledge that You have read, understood, and agree to be bound by these Terms, as they may be updated or amended from time to time. Your continued participation in our programs and use of our services signifies Your ongoing acceptance of these Terms. If You do not agree to these Terms, You must immediately discontinue use of all services and exit our facility.

1. Acceptance of Terms and Organizational Mission

The Covenant of Respect and Responsibility

Your acceptance of these Terms is a formal recognition of the unique covenant that exists between DMAB and our community. We are more than just a training facility; we are an educational organization committed to our Mission Statement: fostering personal growth and community engagement by instilling the core values of discipline, respect, integrity, and perseverance—which are the bedrock of our Educational Philosophy.

1.1. Legal Authority and Capacity

You represent and warrant that You are at least eighteen (18) years of age and possess the legal right and capacity to enter into this agreement. If You are entering into these Terms on behalf of a minor student (e.g., in the Tiny Tigers or Juniors programs), You represent and warrant that You are the student’s parent or legal guardian, and You agree to be personally bound by these Terms and responsible for the minor’s compliance with all rules, conduct policies, and financial obligations contained herein.

1.2. Amendments and Modifications

DMAB reserves the unilateral right, at its sole discretion, to modify, amend, or replace any part of these Terms at any time. We will provide notice of such changes by updating the “Effective Date” at the top of this document. It is Your responsibility to review these Terms periodically for changes. Your continued access to or use of the Services following the posting of any changes constitutes acceptance of those changes.

2. Membership, Enrollment, and Financial Obligations

The Structure of Commitment and Continuity

Membership at DOTHAN MARTIAL ARTS BOOSTERS is conditioned upon consistent adherence to financial commitments and the administrative rules governing enrollment continuity, which are essential for maintaining the high quality and sustained availability of our programs and facility at 200 ROYAL PKWY.

2.1. Membership Status and Enrollment Process

All program participation requires formal enrollment, typically initiated with a complimentary Introductory Lesson, followed by the execution of a written Membership Agreement which details the specific program (e.g., Adult and Advanced Training Specialist track), duration, and tuition schedule. Membership is deemed active upon payment of all initial fees, including any initiation or processing fees, and the submission of all mandatory documentation, including the medical and emergency contact forms specified in the Waiver section below.

2.2. Tuition Fees and Payment Schedule

You agree to pay DMAB the tuition and fees as set forth in Your specific Membership Agreement. All payments are due on the designated schedule (e.g., monthly, quarterly, or annually). Failure to remit payment by the due date may result in a late fee assessment, and sustained non-payment may lead to the temporary suspension or permanent termination of membership access, including exclusion from classes and rank testing, until the account balance is paid in full. DMAB reserves the right to adjust tuition rates for future membership periods, with at least thirty (30) days prior written notice provided to all active members.

2.3. Non-Refundable Policy

Except where expressly mandated by applicable state or federal law, all tuition fees, initiation fees, testing fees, and payments for specialized equipment or workshops (e.g., Self-Defense Workshops) are strictly non-refundable. We rely on the consistency of tuition revenue to maintain staffing (our Team of professional instructors) and facility upkeep. Any termination or withdrawal from the program by the User, for any reason (including, but not limited to, relocation, injury, or change in personal circumstances), does not entitle the User to a refund for pre-paid tuition covering future training periods. Refunds will only be issued for payments made in error or for services that DMAB cancels unilaterally without offering a reasonable alternative or credit.

2.4. Donations and Fundraising

All contributions and charitable donations made to DOTHAN MARTIAL ARTS BOOSTERS are considered final, non-refundable gifts, utilized to support our non-profit mission, outreach programs, and community impact initiatives. DMAB shall issue a tax receipt for all qualifying contributions in accordance with IRS regulations.

3. Rules of Conduct, Discipline, and Program Participation

The Principles of Integrity, Respect, and Resilience

Participation in any DMAB program is a privilege contingent upon the adherence to our core values, the Educational Philosophy of character development, and the operational rules set forth by the Chief Instructor and Program Director, Master Chen. These rules apply equally to all students, parents, guardians, and visitors while on DMAB premises at 200 ROYAL PKWY.

3.1. General Conduct and Respect

All Users must display the highest levels of respect, courtesy, and integrity toward instructors (including the Youth Program Coordinator Ms. Kelleher), staff, fellow students, and property. Disrespectful behavior, insubordination, or the use of offensive language or gestures is strictly prohibited. Parents and guardians observing classes must maintain silence and professionalism in designated viewing areas to avoid distracting the students or instructors, ensuring a conducive learning environment for the Daily Activities.

3.2. Uniforms and Attire

Students are required to wear the official DMAB uniform (gi) in class unless explicitly instructed otherwise for a specialized conditioning or Special Activities session. Uniforms must be kept clean, in good repair, and worn with respect. The failure to wear the proper uniform or to maintain appropriate hygiene may result in the student being dismissed from the class that day without credit or makeup opportunity.

3.3. Discipline and Suspension/Expulsion

DMAB maintains a zero-tolerance policy for bullying, harassment, violence, or any behavior that threatens the safety or positive spirit of our community. Instructors will address minor infractions using the disciplinary methods consistent with our character curriculum. However, severe breaches of conduct, or persistent minor infractions, may result in the temporary suspension or permanent expulsion of the student from the program, at the sole discretion of the Chief Instructor. In the event of suspension or expulsion due to a conduct violation, no refund of tuition will be issued, as the termination is a result of the User’s breach of these Terms.

3.4. Attendance and Progression

Students are expected to maintain consistent attendance as required by their program level. While DMAB understands occasional absences are necessary, prolonged absence may impact a student’s eligibility for rank promotion or participation in events. Progression, including the earning of Life Skills stripes and belts, is determined solely by the instructors based on demonstrated mastery, attendance, and adherence to the character ethics specified in the Educational Curriculum, and is not automatically granted based on time or payment of fees.

4. Waiver of Liability and Assumption of Risk

Acknowledgment of Physical Demands and Inherent Hazards

You acknowledge that martial arts training is an intense physical activity that involves inherent risks of injury, including, but not limited to, bruising, sprains, fractures, dislocations, or other more serious physical harm, despite all precautionary measures taken by DMAB. This section is a complete waiver of liability and an assumption of risk.

4.1. Assumption of Risk

You voluntarily enroll yourself or your minor child in the DMAB program with full knowledge of the dangers involved, and you hereby agree to expressly and voluntarily assume all risks of injury, known or unknown, sustained while participating in any training, sparring, demonstration, competition, or associated activity (including travel to/from the facility) conducted by or affiliated with DOTHAN MARTIAL ARTS BOOSTERS at 200 ROYAL PKWY or elsewhere.

4.2. Release of Liability

To the fullest extent permitted by law, You hereby irrevocably release, discharge, indemnify, and hold harmless DOTHAN MARTIAL ARTS BOOSTERS, its directors, officers, instructors (including Master Chen, Ms. Kelleher, and Mr. Perez), employees, agents, volunteers, and property owners (collectively, the “Released Parties”) from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, or injury, including death, that may be sustained by You or Your minor child while participating in or observing any DMAB activity. This release covers injury or damage caused by the negligence of the Released Parties, but specifically excludes any claims arising from gross negligence or willful misconduct.

4.3. Health Representation

You certify that You or Your minor child are physically fit and have not been advised by a qualified medical professional to refrain from participating in martial arts training. You agree to immediately inform DMAB staff and instructors of any change in health status or any new physical limitations that may affect safe participation in the Program Overview or any Daily Activities.

4.4. Medical Authorization

In the event of an emergency where You or Your minor child are incapacitated, You authorize the Released Parties to obtain necessary medical care, including transportation to a medical facility, and You assume all responsibility for any costs associated with such care, hereby releasing the Released Parties from any liability arising from the provision of such medical attention.

5. Intellectual Property, Media Consent, and Content Usage

Respect for Our Educational and Branding Assets

5.1. DMAB Intellectual Property

All content, logos (including the DOTHAN MARTIAL ARTS BOOSTERS shield), trademarks, trade dress, lesson plans, curriculum designs, technical sequences, and proprietary teaching methodologies utilized in the Educational Curriculum are the exclusive property of DMAB and are protected by applicable intellectual property laws. You agree not to copy, reproduce, distribute, or create derivative works from any DMAB intellectual property without the express prior written consent of the Chief Instructor.

5.2. Content Creation and Sharing

You are prohibited from recording, live streaming, or publicly distributing any video or audio of classes, instruction, or training sessions at 200 ROYAL PKWY without explicit written permission from DMAB management. This is necessary to protect the privacy and safety of all members and to safeguard our proprietary teaching methods. Any media taken within the facility, even with permission, must be used in a manner consistent with DMAB’s positive image and reputation.

5.3. Media Release

As detailed in our Privacy Policy, by enrolling, You grant DMAB the right to use, reproduce, display, and publish non-identifying or generic photographs, video footage, and audio recordings of You or Your minor child’s participation in classes, demonstrations, and Events and Activities for internal promotional and outreach purposes, provided such use is consistent with the positive character of the organization. For any use of media that specifically identifies the individual in public-facing marketing (such as on our website’s Our Team or Testimonials section), a separate, explicit written consent will be requested and must be provided by You prior to publication.

6. Program Changes, Facility Use, and Force Majeure

Operational Flexibility for Service Continuity

6.1. Schedule and Instructor Changes

DMAB reserves the right, at any time and without prior notice, to modify, substitute, or cancel classes, change the training schedule, or substitute instructors (including assigning new staff in administrative roles or as Adult and Advanced Training Specialists). This flexibility is necessary to manage instructor availability, facility maintenance, and to optimize the delivery of the curriculum. No tuition refund or credit will be issued solely due to a change in the scheduled class time or instructor.

6.2. Facility Use and Access

Access to the facility at 200 ROYAL PKWY is restricted to scheduled class times, private lessons, and designated administrative hours. Unauthorized entry or use of the facility outside of these times is strictly prohibited. DMAB reserves the right to implement rules regarding facility capacity, spectator access, and use of parking areas to ensure the comfort and safety of all members during peak times.

6.3. Force Majeure

DMAB shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to, acts of God, war, terrorism, government shutdown, emergency health measures, fire, flood, utility failures, or severe weather events affecting the Dothan area. In the event of an extended disruption to service delivery, DMAB will make reasonable efforts to offer online classes, credit membership time, or adjust schedules, but no refunds will be granted due to Force Majeure events.

7. Termination of Service and Account Suspension

Maintaining the Integrity of the DMAB Community

7.1. Termination by DMAB

DMAB may terminate or suspend your membership immediately, without prior notice or refund, if You or Your minor student breach any material provision of these Terms, including, but not limited to, failure to pay fees, violation of the Code of Conduct (Section 3), or engaging in any activity deemed harmful or disruptive to the safety or mission of DMAB.

7.2. Termination by User

You may terminate Your membership by providing DMAB written notice of cancellation thirty (30) days in advance, as detailed in your specific Membership Agreement. All financial obligations incurred up to the effective date of termination must be fulfilled, and no refund of pre-paid tuition covering the period after termination will be provided, as per Section 2.3.

8. Disclaimer of Warranties and Limitation of Liability

Legal Boundaries of Our Commitment

8.1. Disclaimer of Warranties

The services, including all instruction, classes, and facility access, are provided on an “as is” and “as available” basis, without warranty of any kind, whether express or implied. DMAB makes no warranty that (a) the services will meet Your specific requirements, (b) the services will be uninterrupted, timely, secure, or error-free, or (c) the results that may be obtained from the use of the services will be accurate or reliable. You acknowledge that martial arts training is inherently focused on personal improvement and that DMAB cannot guarantee specific outcomes in terms of physical fitness, self-defense proficiency, or academic performance.

8.2. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall DOTHAN MARTIAL ARTS BOOSTERS, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the service. The entire liability of DMAB for any claim arising out of or relating to these Terms, whether in contract, tort, or otherwise, is limited to the amount of tuition fees actually paid by You to DMAB during the six (6) month period preceding the event giving rise to the claim. You acknowledge that this limitation of liability is reasonable and necessary for DMAB to provide its services at the current fee structure.

9. Governing Law and Dispute Resolution

Ethical and Legal Resolution of Conflicts

9.1. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles. You agree that any action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Houston County, Dothan, Alabama.

9.2. Informal Resolution and Mediation

In the spirit of our character development curriculum, DMAB strongly encourages the use of good faith, direct communication to resolve any disputes. Before initiating any formal legal proceeding, You and DMAB agree to first attempt to resolve the dispute informally and ethically through direct consultation with the Chief Instructor or the DMAB Board of Directors. If the dispute cannot be resolved within sixty (60) days through informal means, You and DMAB agree to attempt resolution through non-binding mediation in Dothan, Alabama, with a mutually agreed-upon mediator. The costs of mediation shall be shared equally between the parties.

9.3. Mandatory Venue

Should mediation fail to resolve the dispute, the parties agree that the exclusive jurisdiction and venue for any legal action or proceeding shall be the appropriate state or federal court located in or serving Houston County, Dothan, Alabama.

10. Miscellaneous Provisions

10.1. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect, and the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

10.2. Entire Agreement

These Terms, together with Your Membership Agreement and the Waiver of Liability, constitute the entire agreement between You and DOTHAN MARTIAL ARTS BOOSTERS concerning the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written.

10.3. Assignment

You may not assign, sublicense, or otherwise transfer any of Your rights or obligations under these Terms without DMAB’s prior written consent. DMAB may assign its rights and obligations under these Terms without restriction.
